Welcome to The Hagwon, an online education platform(“Site”) operated by Bethesda E&C, Inc. Korea ("Bethesda E&C," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our website and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services. The materials contained in this web site are protected by applicable copyright and trademark law.

1. Eligibility

In compliance with the Children’s Online Privacy Protection Act and relevant Korean regulations, The Hagwon does not permit children under 13 years of age to register or use paid Services without verifiable parental or guardian consent and approval. By using our Site or Services, you represent that you are at least 13 years old or have obtained parental or guardian consent. The Site is not designed to attract children under 13 and we do not knowingly collect personal information from such users.

2. Account Registration and Security

When you register for or use Services, you will be assigned a unique user account and a password. It is your responsibility to keep your account information, password, and login credentials confidential. You agree to notify us immediately if you discover or suspect any unauthorized use of your account or breach of security, and you agree that all activities conducted through your account are your responsibility. Bethesda E&C reserves the right, at its sole discretion, to deny service, terminate accounts, modify or remove content, or cancel subscriptions at any time, without notice.

3. Description of Services

Free Access

By default, you may access The Hagwon Question Bank, which provides limited usage of our question database and standard study tools.

Premium Subscriptions

For a recurring monthly fee, users may subscribe to our Premium Subscription, which unlocks advanced study tools such as: Smart filtering and question selection tools Access to premium content and exclusive question modules Advanced time‑tracking functionality Premium Subscriptions auto-renew monthly until canceled in accordance with Section 10.

Study Bundles (“Bundles”)

Users may also purchase time-limited Study Bundles, which provide full access to curated question sets, courses, and related materials for a fixed period (e.g., 30, 60, or 90 days), without automatic renewal. Bundles grant access immediately following payment, unless a later start date is requested and accepted by Bethesda E&C. Study Bundles permit bundled content usage for the specified term and expire automatically when that term concludes.

4. Trials, Promotions, and Offers

We may offer promotional pricing or free trial periods for Premium Subscriptions or Study Bundles. Such promotions are only valid during the specified trial or promotional period, after which regular subscription fees apply unless you cancel prior to the end of the trial. Use of promotional Services is governed both by these Terms and any special terms or rules associated with the promotion, as provided during sign-up.

5. Use License and Restrictions

Subject to your compliance with these Terms and payment obligations (if applicable), The Hagwon, through Bethesda E&C, Inc., grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Services for personal, non-commercial educational purposes. This license may be terminated at any time at our discretion. You are prohibited from:

• Modifying, copying, distributing, republishing, displaying, performing, reproducing, publishing, licensing, selling, renting, or otherwise exploiting any portion of the Site or Service for commercial purposes.
• Attempting to reverse-engineer, decompile, or disassemble any software, algorithms, or tools associated with the Site.
• Removing any copyright, trademark, or other proprietary notices from materials.
• Transferring, sublicensing, mirroring, duplicating, or distributing your access or any materials on the Site.

Using automated systems, scripts, scraping tools, bots, or other means to harvest or collect content or data without our express written permission. Failure to abide by these restrictions may result in immediate termination of access, legal action, and/or forfeiture of paid fees.

6. Intellectual Property Rights

All content, materials, software, design, question sets, workflows, and trademarks on the Site are the exclusive property of Bethesda E&C or its licensors. These Terms do not transfer ownership or grant you any rights beyond the limited license to use the Services. You acknowledge that the Service and all included content remain the intellectual property of Bethesda E&C or its licensors, and you agree not to copy, adapt, distribute, or derive works from those materials without express written consent.

7. User‑Generated Content

If you upload, publish, post, or otherwise make available any content ("User Content") to or via the Service, you affirm that you either own such content or are authorized to grant the rights to use it. You grant Bethesda E&C a worldwide, non-exclusive, royalty-free, sublicensable license (with the right to sublicense) to use, copy, modify, distribute, display, and perform your User Content in accordance with operating the Services. We may, but are not obligated to, review, monitor, or remove User Content at our sole discretion without notice, including content that violates these Terms, is unlawful, offensive, or threatening. If you remove your User Content, this license automatically terminates, but archived copies may be retained.

8. User Conduct Policy

You agree not to:

• Use the Service for any unlawful purpose or to violate laws and regulations;
• Harass, threaten, intimidate, abuse, or harm another user;
• Use false or misleading information in your profile or use of the Site;
• Impersonate other persons or entities;
• Collect other users' contact information via unsolicited or automated means;
• Post or transmit unauthorized or unsolicited advertising, junk mail, or spam;
• Upload or distribute viruses, malware, or harmful code;
• Interfere with or disrupt the integrity or performance of the Site or attempt to bypass security measures;
• Register for multiple accounts or create accounts for others;
• Share login credentials.

Bethesda E&C reserves the right to suspend or terminate accounts that engage in prohibited conduct.

9. Payment, Billing, Pricing Changes

Billing & Payment

Payment is required to purchase Premium Subscriptions or Study Bundles. You agree to provide accurate billing information, including cardholder name, card number, expiration date, and CVV. All payments are processed via third-party payment processors in a secure manner.

Subscription Auto-Renewal

Premium Subscriptions automatically renew monthly unless canceled in accordance with Section 10. You authorize recurring charges to your designated payment method until cancellation is confirmed.

Price Changes

Bethesda E&C may change fees, pricing, or billing policies for paid Services. We will provide reasonable notice (at least one billing cycle where feasible) before any changes take effect. Continued use after the effective date constitutes acceptance of the new pricing.

10. Cancellation and Refunds

Cancellation Premium Subscriptions: You may cancel your subscription at any time via your account settings, specifically within the “Billing” section within “My Account” which can be accessed by hovering over the profile icon on the top right of the website. Subscription access continues through the end of your current billing period. No refunds or credits are provided for unused days.

Study Bundles: These are non-recurring and grant time-limited access. Once activated, no refunds are provided unless otherwise permitted by our Refund Policy.

Refund Policy Bethesda E&C reserves the right to refuse refunds if the user has violated these Terms or is acting against the interests of The Hagwon. For full details, refer to our Refund Policy.

11. Availability and Modifications to the Service

We strive to provide reliable access to the Site and Services. However, we do not guarantee uninterrupted or error-free operation, and we may suspend or discontinue the Services (or any portions thereof), in whole or in part, at any time with or without notice. If we permanently discontinue any paid Service before the end of your paid access period, we will offer a prorated refund consistent with applicable law.

12. Disclaimers and Warranties (as detailed in original)

The materials and Services on the Site are provided "as is" and "as available." Bethesda E&C, Inc., its affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement. We do not guarantee that use of the Service will be uninterrupted, timely, secure, error-free, or operate on all devices. We disclaim any responsibility for content accuracy, quality, or availability, including delays, deletion, or failure to store transmissions, or any unauthorized access or alteration.

13. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL BETHESDA E&C, INC., ITS AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, BETHESDA E&C, INC.’S LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO BETHESDA E&C, INC. FOR THE SERVICE DURING THE TWELVE MONTHS PRIOR TO THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Bethesda E&C, Inc., the operator of The Hagwon, and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against all losses, claims, damages, liabilities, costs and expenses (including attorney’s fees) arising out of or resulting from (i) your violation of these Terms, (ii) your use of the Service, including User Content, or (iii) your violation of any law or rights of a third party. Bethesda E&C reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us

15. Arbitration, Waiver of Class Action & Governing Law

Any dispute or claim arising under or relating in any way to these Terms or the Services shall be resolved by final and binding arbitration administered by the Korean Commercial Arbitration Board (KCAB) in accordance with its commercial arbitration rules. The arbitration shall be conducted in Seoul, Republic of Korea, unless both parties agree otherwise. You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings. By agreeing to these Terms, you and Bethesda E&C each waive the right to a jury trial and participation in class actions.

16. Confidentiality of Communications

Except as required by law, personal communications between you and Bethesda E&C regarding private user information are considered confidential. Public postings, such as forum questions or chat board messages, are not confidential and may be used or disclosed by us for any lawful purpose, including incorporation into our services or materials.

17. Assignment

You may not assign or transfer these Terms or any rights herein without our prior written consent. Bethesda E&C reserves the right to freely assign these Terms or delegate obligations hereunder to any third party without your consent.
